Taunton Association of Performing Arts

1. The name of the group shall hereafter be called Taunton Association of Performing Arts. (TAPA)

2. The aims of TAPA shall be to promote and support the performance arts in Taunton Deane.

3. Membership of TAPA shall be open to any performance arts group in Taunton Deane who wish to associate with the aims of TAPA.

4. TAPA may determine a membership fee and may request further financial assistance from the membership as is deemed appropriate.

5. The following officers shall be appointed annually: Chairperson, Treasurer and Secretary.

6. Voting of member organisations shall be by show of hands, a simple majority to decide.

7. A quorum of three members shall be required for meetings of TAPA. TAPA shall meet at least three times a year.

8. A quorum of five members and three weeks notice shall be required for the annual general meeting and any meeting called to amend the constitution or to dissolve the Association. No more than fifteen months shall elapse between annual general meetings.

9. The Secretary shall keep a record of all meetings, to be circulated as required.

10. The Treasurer shall be responsible for keeping proper accounts of all monies. A bank account in the name of TAPA shall be opened and payments made in the signatures of the Treasurer and either the Chairperson or Secretary. Once a year the Treasurer shall submit a statement of accounts for the last financial year. Accounts shall be prepared to the first day of August and may be subject to independent examination if required by members.

11. TAPA may at any time be dissolved by a resolution passed by a two-thirds majority at any meeting. All monies remaining shall be given or transferred to a group with similar aims as the members of TAPA determine.
